The APAMALL Constitution


Article I: The Association

Section 1: Name.  The name of this self-governing organization will be the Asian-Pacific Association for Multimedia Assisted Language Learning, hereafter referred to as APAMALL. The APAMALL consists of national Associations in Asian Pacific countries.

Section 2: Purposes and Goals.  APAMALL is to be a professional, non-profit membership organization working toward the goal of improving language instruction through the use of multimedia technology. Its purpose is to promote more effective use and a better understanding of multimedia-based instruction in language resource centers and at computer stations at all levels of education and training. The ultimate goal of the APAMALL is to facilitate more effective learning through the improved management and use of the computer and other forms of technology-based instruction. APAMALL provides opportunities for the membership to enhance their professional productivity and creativity. Its focus is on the improvement of the learning and teaching environment, including staffing, facilities, and media resources.

APAMALL is an all-inclusive Association that values differences in people and diversity within our organization and the profession. APAMALL does not discriminate against any individual or group and supports fair treatment of all peoples within our diverse cultures and profession.

To accomplish this goal, APAMALL will:

Section 2.1.  Establish a member association in order to provide communication among professionals in the field of technology-based language instruction. Members include university professors and instructors, grade school teachers, directors of language laboratories or language media centers, supervisors, and others whose interests and assignments bring them in contact with the administration or operation of technology-based learning programs in language education and training.

Section 2.2. Encourage research and development of improved methods, procedures and technologies which enhance the use of the computer for more effective instruction.

Section 2.3 Publish a journal, The APAMALL Journal of Language Learning Technologies once a year, and a newsletter, the APAMALL News Review twice a year, with articles and information in support of the APAMALL's purpose and goals.

Section 2.4 Hold a biennial conference under the sponsorship of APAMALL’s national associations and sponsor sessions at other international, national and regional meetings to provide a forum for the presentation of recent developments in using technology effectively in language teaching and learning.

Section 2.5 Maintain a Professional Services Center that distributes APAMALL-sponsored publications in print and on tape which are pertinent to the profession.

Section 2.6 Develop productive relationships and maintain regular communication with other professional associations and organizations having similar or complementary purposes.

Section 2.7 Provide a Membership Directory.

Section 3: Membership. Any person or organization interested in the purposes and objectives of the APAMALL may become a member upon payment of membership fees.

Section 3.1 Memberships by national associations.

Section 3.1.1 All national associations shall send their membership dues to APAMALL each year

Section 3.1.2. The annual dues are determined by the Board of Directors. The membership year runs from January 1 to December 31.

Section 3.2 Other Classes of Memberships: There are three classes of membership in APAMALL: Student, Library, and Commercial.

Section 3.2.1 Student membership is open to all individuals enrolled as full-time students at either the graduate or undergraduate level. The student must be sponsored by a current, non-student member of the APAMALL.

Section 3.2.2 Educational institutions/agencies and libraries may become Library members of the APAMALL to receive a copy of the Journal.

Section 3.2.3 Publishers, manufacturers, and other commercial organizations may become Commercial members of the APAMALL.

Section 3.3 No part of the net earnings of the APAMALL shall accrue to the benefit of, or be distributed to, its members, trustees, officers, or other private persons, except in so far as the Association shall be authorized and empowered by its Board of Directors, Supervisory Council and Membership to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Section 2 of this Constitution.

Article II: Governance and Officers

Section 1: Governance. The determination of policy and the direction of the affairs of the APAMALL will be the responsibility of Board of Directors whose members are to be elected or appointed, and who will function as described in this Constitution. Every member of the Board and Council must be a member in good standing of the APAMALL.

Section 2: Board of Directors. The Board of Directors of the APAMALL consists of elected officers: a President, a President-Elect, Vice-presidents, a Secretary General, a Programs Director, a Treasurer, a Journal Editor, an International Liaison Director, and an International Coordinator. The office of the President-Elect will be filled by one of the Vice-Presidents, each representing each of the national associations. The new incumbent will then serve (rotate) in each of the three presidential offices on this basis: two years as President-Elect, followed by two years as President (unless otherwise decided), followed again by two years as President Emeritus.  President Emeritus can be re-appointed.  The Secretary General, Programs Director, Treasurer, Journal Editor, International Liaison Director, International Coordinator will be elected for a term of two years.

Section 2.1 Nomination of Presidential Officers. 1) The first President of the APAMALL is to be nominated by the Founding Committee and must be endorsed by the members of the APAMALL by general consent. 2) Vice-Presidents shall be selected by each national association in a way each itself shall decide. 3) The second President of the APAMALL (namely president-elect ) shall be nominated from among the Vice-Presidents by the Board of Directors and must be endorsed by all members present at the first APAMALL conference. But the first President-Elect shall be nominated by the Founding Committee along with the President.  4) The Secretary General, Program Director, Treasurer, Journal Editor, International Liaison Director, International Coordinator will be chosen by the Board of Directors.

Section 2.1.1  All terms begin at the end of the business meeting during which officers are installed.

Section 2.1.2  Duties of elected officers are as follows:

Section The President acts as the executive head of the APAMALL, presides at all APAMALL business meetings, including those of the Board of Directors, Council and General Membership, and carries out the instructions of the Board of Directors. The President appoints all non-elected members of the APAMALL council with Board approval.

Section The President-Elect works with the President to initiate new ideas and directions for APAMALL and represents the President whenever the latter so requests. She/He is responsible for gathering and disseminating organizational news and acts as liaison with Regional Groups. In the absence or disability of the President, the President-Elect performs the duties and exercises the powers of the President.

Section The Secretary General records and prepares minutes of proceedings for all Board, Council and Membership meetings and conference calls. The minutes of all meetings and conference calls are to be distributed to all Board Directors and copies are to be made available to other APAMALL members upon request. She/He maintains the current copies of the APAMALL Constitution, job descriptions, and operating procedures and distributes them as needed. The Secretary General performs other duties as prescribed by the Board of Directors or by the President.

Section The Treasurer is the custodian of all APAMALL funds. He/She collects membership dues, fees and other money due to APAMALL and pays bills owed by APAMALL. He/She maintains the official APAMALL address, acts as the designated contact for information about APAMALL, and maintains and distributes the membership list. The Treasurer coordinates the financial affairs of the Journal Committee and Professional Services Committee and maintains records on APAMALL-purchased equipment and software. He/She prepares an annual budget for review by the Board of Directors during the Summer Meeting, presents mid-year and year-end reports, submits the books for audit every four years, and preserves the financial records of the Association, eventually transmitting them to his/her successor.

Section The Programs Director is responsible to the Board of Directors for organizing all conference programs for the Association. The Programs Director recruits and coordinates affiliate representatives for all conferences where APAMALL sponsors sessions. The Programs Director acts as Columnist for the APAMALL Journal. He/She edits the conference reports of affiliate representatives and submits them to the Journal editor for publication. Via his/her work with the affiliate representatives, the Programs Director actively encourages qualified conference presenters to publish their work in the APAMALL Journal.

Section The International Liaison Director is responsible for making contacts among national associations for the conferences and other businesses.

Section 2.1.7. The International Coordinator is responsible for making contacts with people of other national associations and makes efforts to draw memberships. He/she assists the International Liaison Directors of national associations in their taking care of relations between both associations.

Section 3: Advisory Committee. The Advisory Committee will consist of scholars recommended by each association. They will advise the Board of Directors in their carrying out various missions. They will participate in driving find-raising. Unless otherwise specified, they are to be appointed for a term of two years and may be reappointed.

Section 4: Policy. The Board of Directors will determine the official policy of the APAMALL. Policy resolutions may be drafted and submitted by the Council, any member, or any others interested in the more effective use and understanding of language learning and multimedia. These suggestions will be considered by the Board of Directors and may be adopted as the official policy of the APAMALL.

Section 4.1 Policy. The official policy must exclude reference to commercial manufacturers, i.e., no product endorsements. Exceptional situations which may affect the integrity of the organization and the profession (such as fraud or purposeful misrepresentation) may be considered for policy adoption upon notification of such intent in the APAMALL journal and an appropriate discussion at the next scheduled annual meeting.

 Section 5: Regional Groups and Affiliates. Regional Groups of the APAMALL may be organized upon the recommendation of the Board of Directors and approval of the Council. Any active state, regional, national or international organization whose interests and purposes are similar to those of the APAMALL may become affiliated with APAMALL, for the purpose of working together more effectively in the achievement of common goals.

Section 5.1 Groups. Local or regional Groups may be franchised upon approval of the Board Directors with signatures of more than half of the Board Directors.

Section 5.1.1 The Group leader must be a member in good standing of the APAMALL.

Section 5.1.2 Each Group is responsible for its own structure, providing that this structure does not violate the Constitution of the APAMALL.

Section 5.1.3 Each Group must maintain a minimum membership of ten and hold at least one meeting per year. Each group must publish one newsletter per year (with copies to be sent to other regional group leaders, all APAMALL Board Directors, the APAMALL Journal Editor, and all APAMALL members in their area). Groups may be disenfranchised by action of the Council when they fail to maintain adequate membership or activity.

Section 5.2 Affiliates. Upon approval by the Board, independent organizations with similar goals and activities may be granted the affiliate status with APAMALL. The Board Directors determine the appropriateness of the affiliation and the provisions of the affiliation. Likewise, The Board Directors may initiate affiliation of the APAMALL with another organization in keeping with the goals of the APAMALL.

Section 6  Publication of the Constitution. The Constitution shall be reviewed periodically and revised if necessary by the Board of Directors, and published and distributed to the membership.

Section 6.1 Publication of Constitution. The Editor of the APAMALL Journal must publish the Constitution in the Journal at least once every two years.

Section 6.1.1 Approved amendments to the Constitution must be published in the issue of the Journal that immediately follows their adoption.

 Article III: Amendments

Section 1 Proposals for Constitutional Amendments from the Board of Directors and Advisory Committee. Proposals to amend the Constitution must receive a majority vote of the Board Directors and, with the Board’s recommendation, must be submitted to a vote by the membership.

Section 2 Proposals for Constitutional Amendments from the Membership. Proposals for amending the Constitution may be submitted to the President by a petition signed by five percent of active members of the APAMALL. After validating the signatures of the petition, the Ex-President will take the necessary steps to present the proposed amendment to the membership for a written-ballot vote.

Section 3 Effective Date. An amendment to the Constitution becomes effective when it has been approved by no less than two-thirds present at the annual conference.
